How To Register Company In Nepal In 2021? [Fees Included]

As per the Companies Act 2006 (2063B.S.), following companies can be established in Nepal:

1. Private limited company
2. Public limited company
3. Non-profit company

The registration of company in Nepal is governed by the Office of Company Registrar as per the Companies Act 2006 (2063). The process regarding registration of a company has been prescribed in Sections S. 3, 4 and 5 of the Companies Act.

In order to start with the process of incorporation, we need to first register the company in the relevant ministry/department.

Procedures for Incorporation:

Apply for Registration.

Deposit Registration Fee.

Receive Certificate of incorporation.

Receive Certificate of Commencement.

For sole Proprietorship company:

Documents Required:

1. Name of the firm to be registered which shall not match with any other existing firms.
2. Valid address of the firm to be registered.
3. Owner’s complete information.
4. Objective, functions, features of the company and the goods and commodities which are to be transacted by my company.
5. Copy of valid citizenship.
6. Other legal Documents.
7. Register the business in taxation authority.
8. Prepare and submit MOA and AOA.
9. Prior approval or license from the relevant authority.
10. Copy of prior approval of the department of Industries.
11. Registration fee payment.
12. Complete other legal procedures with the help of a lawyer.

For Partnership Companies:

Document Required:

1. Submission of MOA/AOA of the proposed company.
2. An agreement of the promoters in case of public company and consensus agreement in case of private company if any.
3. Prior approval of the concern line agencies where it is required.
4. Certified copy of the citizenship certificate in case of Nepalese promoters, and in case of organized institution their registration certificate
5. In case of foreign investor of Company, prior approval of the foreign investment or carrying business.
6. In case of foreign promoter or company certified documents indicating the citizenship of such person or the registration documents of such company and permission or recommendation from the principal institution or company to transact in Nepal.
7. Certain companies are required to be registered as public company only under section 12.
8. There must be at least seven promoters for the incorporation of a public company under S.3(2) and in case of registration not of distributing company there must be at least five and after the incorporation of such company, it may have any number of its members S166(3).

The OCR will provide a certificate of incorporation in 15 days from filing the document. A private company can commence its business immediately after the certificate has been issued.
